Product Terms
Last updated: 2 November 2026
These Product Terms govern a client’s use of proClick AI products, including ProClick Agents and Merchant Studio. The commercial agreement, order form or statement of work agreed with the client may add to or replace parts of these terms. In the event of a conflict, the signed commercial agreement controls.
1. The products
ProClick Agents is a customer-operations product that helps client businesses configure AI-assisted customer conversations, approved knowledge, workflow rules, handoffs and supported communication channels. Merchant Studio helps client businesses create, review and manage commerce-ready product-content workflows. Each product is made available for the client’s internal business use and its authorised users.
2. Client accounts and connected services
The client is responsible for its account, authorised users, configuration choices and connected services. The client represents that it has the authority to connect each Facebook Page, Messenger account, store, catalogue, data source or other service and to authorise ProClick to operate the connection on the client’s behalf.
For Meta Messenger, the client remains responsible for complying with Meta’s applicable terms, policies, message-window rules, permissions and opt-out requirements. ProClick may suspend or limit a connection where it reasonably believes use may breach applicable channel rules, law or these terms.
3. Client responsibilities
The client must provide accurate business information, use only content, catalogue data and knowledge sources it is entitled to use, maintain suitable human oversight, and ensure that its customer notices, consent practices and communications comply with applicable law. The client must not use the products to send unlawful, deceptive, discriminatory, harmful or unsolicited communications.
4. AI-assisted output and human review
AI-generated output can be incomplete, inaccurate or unsuitable for a particular situation. The client is responsible for setting each product’s scope, approved knowledge, source data, escalation paths and review process. ProClick AI products are not substitutes for professional legal, medical, financial or other regulated advice.
5. Data protection
Our processing of personal data is described in the proClick AI Privacy Notice. Where ProClick processes personal data for a client, the parties will apply the relevant data-processing terms in their agreement. The client remains responsible for responding to its customers’ privacy rights requests, with ProClick providing reasonable assistance where required.
6. Availability, support and changes
We may maintain, update, change or discontinue features to operate, secure or improve the products. We will use reasonable efforts to provide support under the applicable commercial agreement. Integrations and third-party services may change or become unavailable outside our control.
7. Intellectual property and confidentiality
Each party retains its pre-existing intellectual-property rights. The client retains its rights in client content and data. ProClick retains rights in the products, software, product materials and improvements. Each party must protect the other party’s confidential information and use it only as needed for the service relationship or as required by law.
8. Suspension and termination
Either party may end the relevant product service as set out in the applicable commercial agreement. On termination, the parties will handle client data according to that agreement and applicable law. We may suspend access where reasonably necessary to protect the products, comply with law, prevent abuse or address a material breach.
9. Liability and governing law
Any warranties, liability limits, exclusions, governing law and dispute-resolution terms are set out in the applicable commercial agreement. Nothing in these terms limits liability that cannot lawfully be limited.
